PROTTYASHI International (PI) and PROTTYASHI Bangladesh (PB) collaborate on the basis of shared expertise and complementary roles.

Any engagement between the two organisations takes place on a contractual basis for clearly defined services or technical support. Such arrangements are governed by formal agreements and do not involve unrestricted financial transfers.

PROTTYASHI Bangladesh may contribute technical expertise, programme experience, or advisory support to PI’s international activities. All such contributions are structured to ensure transparency, accountability, and compliance with applicable laws and regulations.

There will be a Memorandum of Understanding (MOU) developed and signed between PI and PB which will be published in PI website to ensure public declaration of the relationship between PI and PB.

PROTTYASHI International will be empowering communities globally to fight against poverty and discrimination through implementing context specific international development and humanitarian programmes, conducting contextual research and explorations and facilitating innovations in the rapidly changing global sociopolitical dynamics. PROTTYASHI International will empower the communities through initiating programmes on livelihood development, financial inclusion, climate resilience and context-driven development initiatives. Areas where PROTTYASHI International intends to focus on-

Livelihood Development: PI will endevour to change lives of the vulnerable communities through engaging them with livelihood programming that encompasses the areas like training and business supports, innovation and technology, research and development and market system and value chain.

Financial Inclusion: PI will facilitate the communities with access to financial inclusion as a tool to directly alleviate poverty in the form of Micro, Small and Medium Enterprise (MSME) development, Entrepreneurship development, innovation and digitization and sustainable programming.

With these programme interventions, PI plans to extend support to the vulnerable communities in Asia and Africa region gradually. At the initial stage, PI will start its operation at different African Countries like Tanjania, Kenya, South Sudan and Nigeria following the financial rules, regulations and compliances of Netherlands and the country of operation.

PROTTYASHI International will implement international development and humanitarian programmes through its country offices and locally registered partners following the rules and regulations of the Netherlands and the country of operations. In working with local partners, PROTTYASHI will select the partners maintaining standard due diligence and capacity assessment. The due diligence and capacity assessment will be conducted by the expert team of PROTTYASHI International country office following a strict partner selection guidance. This will include screening any international sanctions, terrorism and corruption of the partners.

PROTTYASHI International receives and manages funds through its Dutch bank account. Funds may originate from institutional donors, foundations, consultancy contracts, and other mission-aligned sources.

All funds are allocated to clearly defined programmes and activities, based on approved budgets and contractual agreements. PI operates as a programme management and funding platform, ensuring that financial resources are used in a structured, transparent, and accountable manner.

PI does not operate as a pass-through entity. Financial flows are directly linked to programme implementation, contractual obligations, and verified deliverables.

PROTTYASHI INTERNATIONAL adheres to the IATI standard for publishing information on development and humanitarian assistance to ensure transparency and accountability. This information will be accessible through the IATI Datastore and the dashboard of the Dutch Ministry of Foreign Affairs.

PROTTYASHI INTERNATIONAL complies with the Dutch Anti-Money Laundering and Anti-Terrorist Financing Act (Wwft) by implementing risk-based due diligence, maintaining accurate financial records, and ensuring transparency in all transactions. The organization identifies and reports any suspicious activities to the Financial Intelligence Unit Netherlands (FIU-Nederland) in accordance with legal requirements. The Board of Directors oversees compliance and ensures appropriate internal controls are in place to prevent money laundering and terrorist financing. Implementation of PI operations are guided by the Anti-money Laundering policy, sanction screening, partner due diligence and anti-corruption policy aligned with Dutch laws and regulations, published in the PI website.

Funds are disbursed only to vetted partners, service providers, or programme entities, based on formal agreements that define scope, responsibilities, and expected outcomes.

Payments are made in accordance with approved budgets and are linked to clearly defined activities or milestones. All financial engagements are subject to appropriate oversight and documentation to ensure transparency and accountability.

PROTTYASHI International works with partners in the countries of operation, including local organisations, service providers, and, where relevant, regulated institutions.

PI does not provide (unrestricted) funding to PROTTYASHI Bangladesh. Any financial engagement takes place through formal contracts for clearly defined services, subject to due diligence, board approval, and audit requirements.

PROTTYASHI International supports livelihood development and financial inclusion programmes as part of its broader mission to reduce poverty and strengthen economic resilience.

PI implements programmes directly in its countries of operation, either through locally registered entities, country offices, or other legally compliant structures, depending on the regulatory requirements of each jurisdiction.

In the development of its livelihood and financial inclusion programmes outside Bangladesh, PROTTYASHI International will draw on PROTTYASHI Bangladesh’s years of licensed microfinance experience. Financial inclusion activities, including microfinance, are carried out in accordance with applicable local laws and regulatory frameworks. Where required, such activities are implemented through licensed or regulated entities established or engaged at the country level.

PROTTYASHI International does not provide cross-border retail financial services from the Netherlands. All lending or financial service activities are conducted within the appropriate legal and regulatory structures of the country of operation.

PROTTYASHI International is governed by its Board of Directors, which is responsible for oversight of strategy, operations, and financial management.

The organisation is committed to maintaining strong financial controls, including clear approval processes, documented decision-making, and proper record-keeping. All financial activities are conducted in line with applicable legal and regulatory requirements in the Netherlands and in the countries where PI operates.

PROTTYASHI INTERNATIONAL adheres to the ‘Four-Eyes’ principle to ensure the integrity and transparency of the foundation and will fully comply with the WBTR law per 1 July 2026. All decisions are made through a democratic process, supported by clearly defined policies, accurate record-keeping, open communication, and accountability in both financial and operational activities. Any decision is taken with the majority voting except in high risk situation. Each member of the Board of Directors has voting rights in the decision-making process. In the event of a tie, the Chair of the meeting exercises a tie-breaking vote.

PROTTYASHI INTERNATIONAL complies with all applicable laws and regulations of the Netherlands in its operations. The Board of Directors remains duly informed of and adheres to such regulations and is held liable for any misconduct under Dutch law. The roles and responsibilities of the Directors are explicitly defined in the relevant agreements.

PROTTYASHI INTERNATIONAL (PI) adopts a robust board conflict of interest policy, published in the website, whereby any personal or institutional interests involving PROTTYASHI INTERNATIONAL and PROTTYASHI Bangladesh (PB) are fully disclosed and appropriately managed.

PROTTYASHI INTERNATIONAL complies with Dutch civil law by operating in accordance with the provisions of the Dutch Civil Code (Burgerlijk Wetboek) and other applicable legal requirements for foundations. It ensures proper governance, lawful decision-making by the Board of Directors, and adherence to its statutes and fiduciary duties. The Foundation also maintains accurate records, manages conflicts of interest appropriately, and upholds transparency and accountability in all its activities.

PROTTYASHI International is currently in its establishment phase and is in the process of developing its operational, financial management, and compliance frameworks.

As part of this process, the organisation will adopt formal policies on governance, financial management, and regulatory compliance in line with Dutch and international standards.

PI in Netherlands will operate receiving donor funds, contracting partners, managing programmes, transferring funds, hiring staff and overseeing compliances aligning with the policies and laws of Netherlands and the operating countries. Operation of the PI will follow the strategic plan, published in PI website that outlines the targeted countries, implementation strategies, fund management guidelines and guide to select partners.

At the first year, PROTTYASHI International has been completing the primary tasks like preparation of strategic plan, formation of website, development of basic policies and guidelines, preparation of the visibility/communication materials for PI.

Staff of PROTTYASHI Bangladesh seconds PI in accomplishing the initial tasks under the same agreement as remote engagement. This support will be continued until PI set-up an operational body in Netherlands and/or in any targeted operating countries.

Board of PROTTYASHI International will hire Chief Executive Officer (CEO) for overseeing operations of PI once it becomes fully operational. CEO will be fully accountable and reportable to the Board of Directors and conflict of interest policy will be applied to the onboarding of CEO.
